These Terms of Service (“Terms”) are a binding agreement between you and Lume governing your access to and use of Lume’s websites, applications, AI-assisted development tools and related services (collectively, the “Service”).
Please read these Terms carefully
By creating an account, purchasing a subscription or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service. Special attention should be given to the AI output, warranty, liability, billing and dispute provisions below.
1. Agreement and eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement. If you use the Service for a company, school or other organization, you represent that you have authority to accept these Terms for that organization. In that case, “you” includes the organization.
You may not use the Service if applicable law prohibits you from doing so, if your account was previously terminated for violating these Terms, or if you are using the Service on behalf of a person or entity that is prohibited from using it.
2. Accounts and security
Certain features require an account. You must provide accurate and current information and maintain only accounts you are authorized to use. You are responsible for all activity under your account and for protecting your password, authentication tokens, recovery methods and connected third-party accounts.
- Do not share account credentials or permit unauthorized account access.
- Use reasonable security controls appropriate for your projects and data.
- Notify us promptly if you suspect unauthorized access or a security incident.
- Keep your email address current so we can send important account notices.
We may require additional verification, reset credentials, restrict sessions or take other reasonable steps to protect an account or the Service.
3. The Service and your license
Subject to these Terms, Lume grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service during the applicable subscription period.
The Service may include an integrated development environment, AI agents, code generation, live previews, model-provider connections, analytics, collaboration, updates and experimental features. Features and limits may differ by plan, device, region or release channel.
We may update, improve, replace, limit or discontinue any feature. We do not guarantee that every feature will remain available or that the Service will be compatible with every operating system, dependency, model or third-party service.
Beta and preview features
Beta, preview or experimental features may be incomplete, unstable or changed without notice. They are provided for evaluation and should not be relied on for critical production workloads.
4. Your content
“Your Content” includes prompts, source code, files, project context, messages, settings and other material you submit or connect to the Service. As between you and Lume, you retain ownership of Your Content.
You grant Lume a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and otherwise use Your Content only as reasonably necessary to provide, maintain, secure and improve the Service, comply with law and enforce these Terms.
You represent that you have all rights and permissions needed to submit Your Content and permit its processing. You are responsible for Your Content, including its legality, accuracy, quality and any personal, confidential or regulated information it contains.
Backups and exports
You are responsible for maintaining independent backups of important code and data. The Service is not a source-control, archival or disaster-recovery replacement unless expressly stated otherwise.
5. AI features, inputs and output
AI features may generate source code, text, explanations, actions, commands or other material (“Output”) in response to prompts and context (“Input”). You retain your rights in Input. Subject to applicable law and third-party rights, Lume does not claim ownership of Output generated specifically for you.
AI systems are probabilistic. Output may be inaccurate, incomplete, outdated, insecure, offensive, non-unique or unsuitable for your intended purpose. Similar output may be generated for other users. Lume does not guarantee that Output is correct, original, lawful or free of third-party rights.
- Review and test Output before executing, publishing or deploying it.
- Use appropriate code review, security scanning and human oversight.
- Verify licenses, attribution duties and third-party dependencies.
- Do not rely on Output as legal, financial, medical or security advice.
- Do not permit autonomous actions beyond the access and risk you can monitor.
You are solely responsible for decisions, products and systems built using Output and for determining whether your use complies with applicable law and professional obligations.
6. Acceptable use
You may not use or help others use the Service to:
- Violate law, regulation, court order or another person’s rights.
- Infringe intellectual-property, privacy, publicity or contractual rights.
- Create, distribute or operate malware, ransomware, spyware or credential theft.
- Access, probe or disrupt systems, accounts or data without authorization.
- Evade security controls, usage limits, plan restrictions or rate limits.
- Generate abusive, exploitative, deceptive or unlawfully discriminatory content.
- Impersonate others or misrepresent the source or capabilities of generated material.
- Use automated means to scrape, copy or extract the Service or its underlying models.
- Reverse engineer the Service except where applicable law expressly permits it.
- Use the Service to train or develop a competing model or service without permission.
- Process highly sensitive data where the Service is not expressly designed for that use.
- Engage in activity that could harm users, infrastructure or Lume’s reputation.
We may investigate suspected violations and cooperate with lawful requests. Enforcement may include limiting features, removing content, suspending access or terminating an account.
7. Third-party services and model providers
The Service may integrate with model providers, code repositories, payment processors, hosting platforms and other third parties. Your use of those services is governed by their terms and privacy practices. Lume does not control and is not responsible for third-party availability, security, content, pricing or changes.
If you connect your own API key or account, you authorize Lume to transmit requests and relevant project context to that provider as needed. You are responsible for the key, provider charges, permissions, usage limits and compliance with provider terms.
Open-source packages and third-party code remain subject to their applicable licenses, even when surfaced or suggested through the Service.
8. Paid plans, billing and automatic renewal
Lume may offer free, Pro, VIP, trial or promotional plans. Current features, prices and billing intervals appear on the pricing page or at checkout. Paid subscriptions are processed by Stripe and billed in advance.
Unless cancelled, subscriptions automatically renew for successive periods of the same length, and you authorize Stripe and Lume to charge the payment method on file for the recurring price, applicable taxes and disclosed fees.
- You must provide accurate billing and payment information.
- You are responsible for taxes other than taxes based on Lume’s income.
- Usage limits reset according to the applicable plan and billing period.
- Unused limits, credits or benefits do not roll over unless expressly stated.
- Plan benefits may not be resold, transferred or shared between accounts.
Payment failures and price changes
If payment fails, we may retry the charge, ask you to update payment information, reduce the account to a lower plan or suspend paid features. We will provide reasonable advance notice of recurring price changes when required. Continuing the subscription after a change takes effect means you accept the updated price.
9. Cancellation, plan changes and refunds
You may cancel a paid subscription through the available account or billing controls. Cancellation takes effect at the end of the current paid period unless applicable law requires otherwise. You retain paid features until then.
Upgrades may take effect immediately and may be prorated. Downgrades generally take effect at the next renewal and may reduce limits, storage or feature access.
Except where required by law or expressly stated in a written refund policy, payments are non-refundable and we do not provide credits for partial periods, unused features or account inactivity. Trials and promotional offers may have additional conditions disclosed when offered.
10. Privacy and security
Our Privacy Policy explains how we process personal information. By using the Service, you acknowledge that information may be processed by Lume and relevant providers as described there.
We use reasonable safeguards designed to protect the Service, but no system is completely secure. You are responsible for configuring projects, permissions, repositories, connected providers and deployment environments appropriately.
Do not use the Service to process regulated information, protected health information, payment-card data or government-classified information unless Lume has expressly agreed in writing that the Service supports that use.
11. Lume intellectual property
Lume and its licensors own all rights in the Service, including software, interfaces, designs, documentation, trademarks, models, systems and improvements, excluding Your Content and third-party materials.
These Terms do not grant rights to use Lume names, logos or trademarks. You may not copy, modify, distribute, sell, lease or create derivative works from the Service except as expressly authorized in writing or required by applicable law.
12. Feedback
If you provide suggestions, ideas or feedback, you grant Lume a perpetual, worldwide, irrevocable, royalty-free right to use and commercialize that feedback without restriction or compensation. Feedback does not include Your Content.
13. Copyright and intellectual-property complaints
If you believe material available through the Service infringes your rights, send a detailed notice to support@lumeide.com. Include identification of the protected work, the allegedly infringing material, your contact details, a good-faith statement and a statement that the information is accurate and you are authorized to act.
We may remove or restrict material and terminate repeat infringers where appropriate. Knowingly submitting a false claim may create legal liability.
14. Suspension and termination
You may stop using the Service at any time. We may suspend, limit or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay, abused the Service, or if suspension is necessary to protect Lume, users or third parties.
When an account terminates, your license ends and you may lose access to Your Content and account data. Where practical, we may provide an opportunity to export data, but we are not obligated to retain data beyond applicable retention periods.
Sections concerning ownership, payment obligations, disclaimers, liability, indemnification, disputes and other provisions that should reasonably survive will survive termination.
15. Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided “as is” and “as available.” Lume disclaims all express, implied and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation.
Lume does not warrant that the Service will meet your requirements, preserve data, identify vulnerabilities, produce secure code or operate without delay, loss, corruption or harmful components. You assume all risk arising from use of the Service and Output.
Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
16. Limitation of liability
To the maximum extent permitted by law, Lume and its affiliates, officers, employees, agents and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data, code, business opportunities or service interruption.
Lume’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of US $100 or the amount you paid Lume during the 12 months immediately preceding the event giving rise to the claim.
These limitations apply regardless of legal theory and even if a remedy fails its essential purpose. They do not limit liability that cannot legally be limited.
17. Indemnification
To the extent permitted by law, you will defend, indemnify and hold harmless Lume and its affiliates, officers, employees and agents from claims, damages, losses, liabilities and reasonable legal fees arising from:
- Your Content, products, deployments or use of Output.
- Your violation of these Terms or applicable law.
- Your infringement or violation of another person’s rights.
- Your misuse of the Service or connected third-party services.
We may control the defense of an indemnified claim, and you agree to reasonably cooperate. You may not settle a claim imposing obligations on Lume without consent.
18. Export controls and sanctions
You must comply with applicable export-control, import and economic-sanctions laws. You represent that you are not located in, ordinarily resident in or controlled by a prohibited jurisdiction, and are not a restricted party.
You may not use the Service for prohibited end uses or transfer the Service, technology or Output in violation of applicable trade restrictions.
19. Governing law and disputes
These Terms are governed by the laws applicable where Lume’s operating legal entity is established, without regard to conflict-of-law principles. Courts with jurisdiction over that entity will have exclusive jurisdiction unless mandatory consumer law requires otherwise.
Before filing a formal claim, you and Lume agree to make a good-faith effort to resolve the dispute informally. Send a written description of the dispute and requested resolution to support@lumeide.com. This paragraph does not prevent either party from seeking urgent injunctive relief.
20. General terms
Entire agreement
These Terms, the Privacy Policy and any plan-specific terms presented to you form the entire agreement concerning the Service and replace prior agreements on the same subject.
Assignment
You may not assign these Terms without Lume’s written consent. Lume may assign them as part of a merger, reorganization, asset transfer or by operation of law.
Severability and waiver
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver.
No agency or third-party beneficiaries
These Terms do not create an employment, agency, partnership or joint venture relationship. Except as expressly stated, they create no third-party beneficiary rights.
Electronic communications
You consent to receive agreements, notices and records electronically. Electronic communications satisfy legal requirements that communications be in writing.
Force majeure
Lume is not responsible for delay or failure caused by events beyond reasonable control, including internet or provider outages, natural disasters, labor disputes, government action, conflict or widespread security incidents.
21. Changes to these Terms
We may update these Terms to reflect changes to the Service, business or law. We will update the effective date and provide additional notice of material changes where required. Changes apply prospectively. Continued use after updated Terms take effect means you accept them.
22. Contact
Questions, notices or concerns regarding these Terms may be sent to support@lumeide.com.
